Terms of Service

Effective Date: April 13, 2026

These Terms govern your use of P2Guard, operated by Oakland Technologies Limited. By creating an account or using P2Guard, you agree to be bound by these Terms.

1. Nature of Service

P2Guard is a digital escrow and secure transaction platform that facilitates payments between buyers and sellers.

P2Guard is not:

  • A bank
  • A lending institution
  • A manufacturer or supplier of goods
  • A logistics company or courier service

P2Guard does not own, inspect, manufacture or sell the products listed by users.

Transactions conducted outside P2Guard are entirely at the users' own risk and are not covered by P2Guard's escrow protection.

2. Escrow & Transaction Process

The standard transaction flow is as follows:

  • Seller creates or assigns a transaction.
  • Buyer reviews and funds the transaction.
  • Funds are securely held in escrow.
  • Delivery is arranged through an approved logistics partner.
  • Buyer pays applicable delivery fees and service charges.
  • Buyer inspects the item upon delivery.
  • Payment is released only after delivery confirmation or submission of the delivery confirmation code.

For interstate transactions, collection and return procedures shall follow the policies of the approved logistics partner.

3. Fees

The following fees may apply:

  • Escrow Fee: 2% of the transaction value (Minimum ₦200, Maximum ₦3,000)
  • Delivery Margin: Applied to logistics charges where applicable.
  • Insurance: Optional and charged based on the declared value of the shipment.
  • Other applicable fees, where disclosed before payment.

All applicable charges shall be displayed before payment confirmation.

4. Delivery & Logistics

P2Guard partners with independent third-party logistics providers.

P2Guard does not take physical possession of goods and shall not be responsible for loss, damage, delays or other logistics-related issues arising from the services of third-party logistics providers, except as expressly provided under P2Guard's Escrow & Transaction Policy or where required by applicable law.

Returns, rejected deliveries and related logistics processes shall be handled in accordance with the applicable policies of the relevant logistics partner and P2Guard's Escrow & Transaction Policy.

Delivery shall be deemed completed once:

  • The buyer confirms receipt; or
  • The buyer provides the delivery confirmation code.

Failure to inspect the item before confirming delivery shall constitute acceptance of the transaction.

5. Buyer Inspection

Buyers are expected to inspect items before confirming delivery.

6. Dispute Resolution

P2Guard acts as an escrow facilitator and not as an arbitrator of product quality.

Where disputes arise, P2Guard may temporarily retain escrow funds while reviewing available transaction records and information.

P2Guard reserves the right to make payment decisions based on available evidence, platform records and applicable policies.

7. Identity Verification (KYC)

P2Guard may require users to complete identity verification before accessing certain features or transaction limits.

Verification may include:

  • Phone Number Verification
  • BVN Verification
  • NIN Verification
  • Facial Verification
  • Proof of Address
  • Bank Account Verification
  • Business Verification (where applicable)

Failure to complete required verification may restrict access to certain platform services.

8. Prohibited Activities

Users shall not use P2Guard for:

  • Fraudulent activities
  • Money laundering
  • Financing unlawful activities
  • Sale of prohibited or illegal goods
  • Sale of counterfeit products
  • Identity theft
  • Any activity prohibited under Nigerian law

9. Account Suspension

P2Guard reserves the right to suspend, restrict or terminate accounts where users are suspected of:

  • Fraud
  • Chargeback abuse
  • False claims
  • Identity fraud
  • Violation of these Terms
  • Abuse of the platform

10. Account Responsibility

Users are responsible for maintaining the confidentiality of their login credentials.

P2Guard shall not be liable for losses arising from unauthorized account access resulting from user negligence.

11. Limitation of Liability

P2Guard provides escrow services only.

Except where required by applicable law, P2Guard shall not be liable for:

  • Product quality or authenticity
  • Seller misrepresentation
  • Hidden defects
  • Manufacturing faults
  • Losses resulting from transactions conducted outside the platform
  • Indirect, incidental or consequential damages
  • Events beyond our reasonable control (Force Majeure)

In all cases, P2Guard's maximum liability shall not exceed the escrow amount held for the specific transaction giving rise to the claim.

12. Changes to these Terms

P2Guard may update these Terms from time to time.

Continued use of the platform following any update constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
